TERMS OF SERVICE

This Terms of Service Agreement (“Agreement”) is entered into by and between Taskera AI Ltd, doing business as Taskera AI (“Company”, “we”, “us”, or “our”), a Private Limited Company registered in the United Kingdom, and the Client (“you” or “Client”).

By accessing or using our software platform, AI systems, automation services, websites, or related services (collectively, the “Platform” or “Services”), you agree to be bound by the terms and conditions set forth herein.


1. Purpose and Scope

This Agreement governs your access to and use of Taskera AI’s software platform, AI-powered automation systems, CRM systems, communication tools, marketing systems, and related services.

By using our Services, you confirm that you:

Are legally capable of entering into a binding agreement

Are authorized to act on behalf of your business (if applicable)

Agree to comply with all applicable laws and regulations


2. Services Provided

Taskera AI provides AI-powered automation, CRM systems, communication systems, marketing automation, lead management tools, and related consulting or implementation services.

Specific services, pricing, and deliverables may be outlined in:

A separate service agreement

An order form

An invoice

A proposal

A performance agreement

We reserve the right to modify, suspend, or discontinue any portion of the Services at our discretion.


3. Compensation and Billing

• Fee Structure

You agree to pay fees as outlined in your individual service agreement with the Company. Fees may be based on:

Revenue-sharing arrangements

Flat monthly fees

One-time setup fees

Performance-based pricing

Custom commercial agreements

• Billing

Fees are invoiced on a monthly basis unless otherwise specified in writing.

You agree to:

Provide accurate billing information

Maintain valid payment methods

Ensure sufficient funds are available

Use any provided tracking systems for accurate revenue attribution

Failure to process payments may result in suspension or termination of services.

• Non-Refundable Fees

Unless explicitly stated in a written performance guarantee, all fees paid to the Company are non-refundable.


4. Cancellation & Chargeback Policy

• Cancellation Notice

To cancel services, you must submit written notice via email to:

Cancellation requests must be received at least 35 days prior to the intended cancellation date.

• Protection Against Chargebacks

You acknowledge that initiating a chargeback without following the proper cancellation procedure constitutes a breach of this Agreement.

In such cases, the Company reserves the right to:

Recover outstanding fees

Recover chargeback-related costs

Pursue legal remedies

Engage debt recovery services

• Post-Cancellation Obligations

Upon cancellation, you remain responsible for payment of all services rendered up to the effective cancellation date.

All outstanding balances must be paid within 5 business days of termination.


5. Communication Consent

By using our services, you expressly grant Taskera AI the right to contact you via:

SMS

Email

AI voice systems

AI chat systems

Social media platforms

Direct phone calls

These communications may include:

Service updates

Onboarding instructions

Compliance notifications

Promotional materials

System alerts

Important account information

You may opt out of promotional communications, but essential service communications may continue.


6. Confidentiality

Both parties agree to maintain strict confidentiality of proprietary, financial, operational, and business information disclosed during the term of this Agreement.

Neither party shall disclose such information to third parties without prior written consent, except:

As required by law

To trusted service providers under confidentiality obligations

This confidentiality obligation survives termination of this Agreement.


7. Limitation of Liability

To the maximum extent permitted by law:

The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

This includes but is not limited to lost profits, lost data, lost business opportunities, or business interruption.

The total liability of Taskera AI under this Agreement shall not exceed the total compensation paid by you to the Company in the preceding 3 months.


8. Dispute Resolution

• Negotiation

In the event of any dispute, both parties agree to first attempt resolution through good-faith negotiations.

• Arbitration

If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the laws of England and Wales.

Arbitration shall take place in the United Kingdom unless otherwise agreed.

The arbitrator’s decision shall be final and binding.


9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.


10. Entire Agreement and Amendments

This Agreement constitutes the entire agreement between you and Taskera AI regarding your use of our Services and supersedes all prior or contemporaneous agreements, representations, or communications.

Any amendments must be made in writing and signed by both parties.


11. Client Data & Privacy

All client data will be handled in accordance with our Privacy Policy.

By entering into this Agreement, you consent to our collection, storage, and processing of your data as described in our Privacy Policy.


12. Platform Usage & Acceptable Conduct

You agree not to:

Use the Platform for unlawful activities

Send spam, unsolicited messages, or illegal communications

Violate telecommunications or A2P messaging regulations

Infringe intellectual property rights

Reverse engineer or attempt to access restricted systems

Violation of these terms may result in immediate termination of services.


13. Termination

We reserve the right to suspend or terminate your access to the Services if:

You breach this Agreement

You fail to pay fees

You misuse the Platform

You engage in unlawful conduct

Termination does not relieve you of payment obligations for services already rendered.
